Policy Regarding Use of Difinitron Name, Logos, Product Images, and Related Materials

Difinitron, Inc. is pleased to allow its customers the use of Difinitron's name and trademarks for the purpose of properly promoting sales of its products and strengthening the relationship with its customers. This policy is intended to define the legal terms under which Difinitron is willing to allow use of this property by outside companies.

Use of the Difinitron's name, Logos, product images, and related information (in print- and/or electronic-forms) (hereinafter "Difinitron Property") is limited to Difinitron Authorized Distributors and Sales Representatives (hereinafter "User"). An "Authorized Distributor" is defined in Difinitron's Statement of Policy. Companies are specifically prohibited from using the terms "Authorized Dealer", or "Authorized Distributor", unless they meet the specific qualifications described herein.

Difinitron grants User permission to use the Difinitron Property subject to the following conditions: (1) all advertising of User clearly indicates that it is advertising of User, and is not advertising of Difinitron; (2) User's advertising does not imply or suggest an association between User and Difinitron other than that of buyer and seller; (3) User's use of the Difinitron Property positively represents Difinitron and related products in a professional manner; (4) User's trade name is more predominant on User's advertising than Difinitron trademarks; (5) the appropriate trademark notice ( ™ or ® ) appears adjacent all Difinitron federally registered trademarks; (6) the Trademark Statement below appears in or at the end of all advertising wherein any Difinitron trademarks are used; (7) no modifications of any Difinitron Property are made; and (8) only Difinitron Suggested dealer pricing may be used for direct marketing or E-commerce promotion activities. Use for any other purpose is expressly prohibited, and may result in severe civil and criminal liabilities.

The use of Difinitron Property is authorized ONLY for promotion and sale of Difinitron products. Use of Difinitron Property DOES NOT imply any business association with Difinitron, other than that of buyer and seller.

Difinitron reserves the right to review User's advertising and may: (1) specify and require changes to the advertising as a condition of use; or (2) refuse or revoke permission to use Difinitron's Property by User.

Difinitron trademarks are to be used in association with Difinitron products according to the terms and conditions stated above. When Difinitron trademarks are used for the purpose of demonstrating an association between another company and Difinitron, permission is granted for their use provided that: (1) User is qualified as a Authorized Distributor, (2) the applicable legend, "Authorized Difinitron Distributor, appears below User's tradename; and (3) Difinitron has not specifically denied permission to User. Difinitron trademarks may not be used in any way that gives the impression that User is part of Difinitron, or is the EXCLUSIVE Agent, Dealer, or Distributor for Difinitron.

Permission to use Difinitron Property for any other purpose is not granted, and must be specifically obtained in writing from the Difinitron Marketing Department.

Difinitron reserves the right to deny or revoke permission to use any of the Difinitron Property for any or no reason at any time.

Trademark Legend
Difinitron, the Difinitron Logos, and VideoMeter, are either trademarks or federally registered trademarks of Difinitron.

Any rights not expressly granted herein are reserved.

Trademark Statement
The following Trademark Statement must appear on any document that contains a Difinitron trademark:

"[the appropriate Difinitron trademark(s)] is a (are) trademark(s) of Difinitron, Inc. - Huntley, Il., and may be registered in certain jurisdictions."

Questions regarding use of Difinitron Property should be directed to the Difinitron Marketing Department.

WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE WEBSITE IN PART OR ITS ENTIRETY TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. DIFINITRON HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SOFTWARE, IMAGES, OR DOCUMENTS INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

The use of Difinitron artwork is authorized ONLY for promotion and sale of Difinitron products.
